These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Odede Oluwatobiloba Anthony, operating as Metanoid ("I", "me", or "my"), concerning your access to and use of my website and services.
By accessing my platform, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using my website and services and must discontinue use immediately.
1. MY SERVICES & PLATFORM DESCRIPTION
Metanoid serves as a creative design showcase, professional showcase, technical blog, and digital template repository. Through my platform, I display creative concepts, publish case studies, and offer digital design templates, website layouts, custom graphics, and 3D design models for license acquisition and download.
Digital Deliverables & No Executable Software: All files offered on my platform represent web assets, graphics, and layout templates. I explicitly do not distribute, bundle, or sell installable operating system applications, client-end executable software (.exe, .dmg), or portable mobile application binaries.
2. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, my platform and all source code, databases, design models, layout templates, typography, graphics, text, logo designs, and system assets (collectively, "Content") are owned or licensed under copyright and other intellectual property protections.
Except where explicitly authorized by a purchased digital license, no part of my platform, design files, or published Content may be copied, reproduced, redistributed, translated, repackaged, or exploited for commercial use without my express prior written consent.
3. USER REPRESENTATIONS & AGE ELIGIBILITY
By accessing and using my platform, you represent and warrant that you are at least 13 years of age. Users under the age of 18 but at least 13 must have the express consent and direct supervision of a parent or legal guardian to navigate my site, read my blog posts, or acquire digital assets.
If I discover that a minor under the age of 13 has submitted registration details or ordered files without parental consent, I reserve the right to delete all associated user profiles and terminate any generated license agreements immediately.
4. DIGITAL LICENSING & PRODUCTS
Upon completing a purchase, you are granted a non-exclusive, non-transferable global license to use the acquired templates, models, or layouts. I offer two primary commercial license tiers:
- Standard Commercial License: Grants the license to integrate the static asset inside one (1) single personal or commercial end-project. Redistribution of the raw design assets as-is is strictly prohibited.
- Extended Multi-Project License: Grants the license to integrate the assets inside unlimited personal or client commercial projects. Standalone reselling or redistributing is prohibited.
5. BILLING, PAYMENTS & CURRENCY
I accept online payments primarily denominated in Naira (NGN), with equivalent pricing shown in other currencies for reference. Transactions are securely processed through Paystack using active encryption safeguards. Supported payment methods include Visa, Mastercard, Verve cards, and bank transfer, as made available by the payment processor. You authorize the payment gateway to process the designated amount upon payment authorization.
6. STRICT NO-REFUND POLICY
Due to the digital nature of instant digital files and licenses, all order coordinates and sales are final. I do not maintain, accept, or permit product returns, refunds, or visual exchanges after download access or credential license codes have been generated.
7. PROHIBITED PLATFORM ACTIVITIES
You may not access or utilize my website or services for malicious, disruptive, or unauthorized behavior. Specifically, you agree not to:
- Extract layout designs, template assets, or database information automatically using scraper bots or automated crawler scripts.
- Circumvent, disable, or compromise licensing credentials, access portals, or structural security rules.
- Reverse engineer, decompile, or decrypt any of the client configurations or server payloads.
- Overburden, flood, or attack my hosting servers and delivery infrastructure.
8. WARRANTY DISCLAIMERS & LIMITATIONS
My platform, templates, layouts, and all creative materials are provided entirely on an "AS-IS" and "AS-AVAILABLE" basis without warranties or implied guarantees of any kind.
Capped Liability: To the maximum extent permitted by applicable laws, my total liability to you for any dispute or licensing claims shall be strictly limited to the total cumulative amount paid by you to me for the specific order giving rise to the claim.
Claim Limitations: Any legal actions or formal claims arising out of these Terms and Conditions must be initiated within one (1) year from the date of occurrence, or they will be permanently barred.
9. GOVERNING LAW & JURISDICTION
These Terms and Conditions and your use of my platform are governed by the laws of Nigeria, without regard to conflict of law principles.
10. DISPUTE RESOLUTION
In the event of a dispute, both parties agree to first engage in good-faith informal negotiations for at least thirty (30) days. If the dispute cannot be resolved informally, either party may pursue the matter through the courts of Nigeria, consistent with the governing law stated above.
11. MODIFICATIONS & SEVERABILITY
I reserve the right to modify these Terms and Conditions at my sole discretion at any time. Updates will be indicated by changing the "Last updated" date in this document. It is your responsibility to review these terms periodically. If any part of these Terms is deemed unlawful or unenforceable by an arbitrator, the remaining provisions will continue in full force.
